E-commerce Development Terms & Conditions

These terms apply to Empex Digital e-commerce development services, including Starter Store, Growth Store, and Custom Commerce projects, unless otherwise agreed in writing.

These terms explain what is normally included in an e-commerce build and what may require separate quoting.

Guide pricing only

Public package prices are starting points. Final pricing depends on scope, platform, integrations, and complexity.

Important limitations

Migrations, third-party tools, product data quality, and custom features can materially affect delivery time and final cost.

1. Overview

These Terms & Conditions govern the provision of e-commerce development services by Empex Digital.

By purchasing, accepting, or using an e-commerce development service from Empex Digital, the client agrees to these terms unless a separate written agreement has been signed by both parties.

E-commerce development services may include strategy, design, build, configuration, integration, testing, launch support, and related technical implementation depending on agreed scope.

2. Pricing guidance

Public prices shown on the website are guide prices and starting points only.

Final pricing depends on factors including platform choice, product count, product structure, design complexity, custom functionality, shipping logic, payment requirements, migration needs, third-party integrations, and project timeline.

Empex Digital reserves the right to issue a custom quote where the project falls outside the assumptions of the published package ranges.

3. Scope of service

E-commerce development services are limited to the agreed written scope for the project.

Depending on the project, services may include:

storefront design and build
product and category setup
cart and checkout configuration
payment gateway integration
shipping and tax setup
core legal page setup
analytics and tracking setup
email or automation integration
launch preparation and support

Services do not automatically include unlimited design work, unlimited data entry, advanced copywriting, major custom software development, ERP implementation, marketplace expansion, or unrestricted engineering time unless expressly agreed in writing.

4. Platforms and integrations

Empex Digital may recommend Shopify, WooCommerce, a custom stack, or another suitable platform depending on project requirements.

Third-party integrations such as payment gateways, shipping providers, automation tools, CRMs, inventory systems, tax tools, and marketing tools may involve external fees, limitations, API changes, or technical constraints outside Empex Digital’s control.

Unless expressly stated in writing, third-party subscription fees, plugin licences, theme licences, app charges, and platform charges are not included in project pricing.

5. Content and product data

The client is responsible for supplying accurate product data, pricing, images, descriptions, policies, and legal business information unless content creation is included in the agreed scope.

Empex Digital is not responsible for inaccuracies, omissions, or delays caused by incomplete, inconsistent, or poor-quality source materials supplied by the client.

6. Migration and imports

Migration of products, customers, orders, blog content, or SEO structures may be included only where expressly agreed.

Migration complexity varies significantly depending on the source platform, data quality, export access, plugin compatibility, and redirect requirements.

Empex Digital will use reasonable care in handling migrations but cannot guarantee perfect transfer of all data, metadata, SEO signals, historic order data, or third-party system behaviour in every case.

7. Revisions and approvals

Reasonable revisions may be included according to the agreed project scope, but substantial changes to approved design direction, new feature requests, platform changes, or scope expansion may require a revised quote.

Delays in approvals, feedback, asset delivery, access provision, or content provision may affect the project timeline.

8. Launch and post-launch support

Empex Digital may provide launch support as part of the agreed project scope.

Ongoing maintenance, updates, security care, store improvements, and continued technical support are not assumed to be included beyond the agreed build scope unless a separate support arrangement is in place.

9. Payment terms

Project payment terms will be stated in the quote, invoice, or written agreement.

Unless otherwise agreed, work may be scheduled only after an initial payment has been received.

All stated prices are exclusive of VAT unless expressly stated otherwise.

Additional work outside agreed scope will be quoted separately and will not begin until approved.

10. Cancellation and pause

If the client cancels a project after work has begun, Empex Digital reserves the right to invoice for work already completed, time already allocated, non-refundable third-party costs already incurred, and any project phase that has substantially commenced.

Where a project is paused for an extended period due to client delay, Empex Digital may reschedule delivery and may issue an updated quote if the project requirements, timeline, or external costs have materially changed.

11. Liability and limitations

Empex Digital will provide services with reasonable care and skill.

However, Empex Digital is not liable for indirect loss, loss of profit, loss of revenue, loss of opportunity, loss of reputation, or consequential loss arising from the use of the store, delays in third-party services, or issues outside reasonable control.

Empex Digital is not responsible for third-party platform outages, plugin failures, payment provider failures, shipping provider issues, tax service failures, or legal non-compliance caused by inaccurate client-supplied information.

12. General terms

These terms may be updated from time to time. The latest version published by Empex Digital will apply to future projects unless a separate written agreement states otherwise.

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force.

These terms are governed by the laws of England and Wales, and any disputes shall be subject to the jurisdiction of the courts of England and Wales.
